Non-Disclosure Agreement (NDA)

This Agreement is entered into by and between:
Disclosing Party: Falcon Electronics, LLC
Receiving Party: The individual or entity submitting the form and checking the NDA acceptance box.

1. Confidential Information

“Confidential Information” includes any data, file, design, technical specification, document, note, drawing, or communication shared in relation to the project. This also includes information shared verbally or digitally, and any third-party information Falcon Electronics is legally bound to protect.

2. Recipient’s Obligations

The Receiving Party agrees to:

  • Not disclose any Confidential Information to third parties.

  • Use such information solely for the purpose of the related project.

  • Protect the information with the same level of care as their own confidential materials.

  • Not duplicate or store unnecessary copies.

  • Return or destroy any Confidential Information upon written request.

3. Exclusions

Confidential Information does not include information that:

  • Was already known by the Receiving Party before disclosure.

  • Becomes public without fault of the Receiving Party.

  • Is disclosed legally by another source.

  • Is developed independently by the Receiving Party without use of Falcon’s information.

4. Term

This Agreement is valid for three (3) years from the submission date of the form, regardless of whether a formal contract is later established.

5. Governing Law

This Agreement shall be governed by the laws of the State of Utah, United States.

6. Acceptance

By checking the NDA acceptance box on the submission form, the Receiving Party acknowledges and agrees to the terms outlined in this Agreement. This electronic acceptance is legally binding and serves in place of a physical signature.
